Cynapsus Announces Debenture Financing

TORONTO, CANADA – Cynapsus Therapeutics Inc. (“Cynapsus” or the “Corporation”) (formerly Cannasat Therapeutics Inc.) (CTH: TSX-V) announced today that it has secured financing (the "Financing") of a secured Series B debenture ("Secured Debenture") in the aggregate amount of $100,000. The Secured Debenture bears interest at a rate of 8% per annum and is secured by a second ranking (to Series A Debentures) security interest in the assets of the Company. The Secured Debenture is payable by Cynapsus on or before March 24, 2011. As part of the Financing, the Corporation will pay an 8% capital discount to the debenture holder resulting in net proceeds to the Corporation of $92,000 and issue 368,000 common shares to the debenture holder at a price of $0.05 per share.

The securities being issued are all subject to a four-month hold period in accordance with applicable Canadian securities laws. The securities have not been registered under the U.S. Securities Act of 1933, as amended, or any state securities laws and, until so registered, may not be offered or sold in the United States or any state or to, or for the account of, U.S. persons absent registration or an applicable exemption from registration requirements. This release does not constitute an offer for sale of securities in the United States.

The Corporation will use proceeds from the Secured Debenture to allow the Corporation to pay a fee owing in respect of a licence for the Corporation’s technology.

The closing of the Financing is subject to regulatory approval from the TSX Venture Exchange Inc.

About APL 130277

Cynapsus is developing APL 130277 as a convenient and fast acting reformulation of FDA-approved apomorphine (a proven dopamine agonist that addresses motor fluctuation for Parkinson’s patients). APL 130277 is a reformulation of the currently marketed injection into an oral formulation that will follow an expedited clinical development path of 18-24 months based on the FDA’s 505b(2) submission process. In addition to addressing the needs of severe Parkinson’s patients who currently have access to only the inconvenient and painful subcutaneous apomorphine injection, APL 130277 has the potential to become adjunctive therapy for moderate Parkinson’s patients as well. APL 130277 could be used 2 to 3 times daily to allow for a fast rescue of patients experiencing motor fluctuations in addition to therapy with various forms of levodopa.
